Joseph Suntum recently prevailed in a significant commercial law case setting new rules of procedure and review for the trial courts in Maryland. Joe represented the successful petitioners in Boland vs Boland, a complicated business litigation involving motions to dismiss shareholder derivative suits based on the recommendation of internal corporate “Special Litigation Committees.” Maryland’s highest court recognized the potential for corporate boards to unfairly influence the product of such committees and directed the trial courts of Maryland to act aggressively to insure the integrity and fairness of the Special Litigation process.
